Hi, I have a problem. A director of a public limited company is retiring. X, who holds one share, proposes to nominate Y for the position of the director; while Z, who does not hold any share, proposes to nominate himself for the position of the director. Would both the nominations be considered in same way?

can date of notice of agm before the date of audit report & directors report ? whether any legal problem in that?

As an auditor can we take declaration from directors u/s 274(1)(g)after March 31 for the concerned period.
I.e. for audit period ended March 31, 2012 can the declaration by director be in month of April 2012.

CAN A COMPANY GIVE LOAN TO RELATED CO. 4% HIGHER THAN THE LOAN GIVEN BY BANK TO IT

e.g. x co. take loan from bank @ 16% and same loan x co. give to its related co. @ 21%.
