what is the procedure to be followed when a company which has unpaid dividend in unpaid divd a/c for more than a decade to transfer it to iepf a/c .the above case is of a company having unpaid divd hwen there was no provision of transfer to iepf a/c.

Recently, we have formed a private limited company in Mumbai.

We are being informed by someone, that it is necessary to appoint the Chairman and Managing Director in the company. That too not later then 3 months.

We are three directors together formed this company. Kindly please let me know is the above stated true or nothing such exists.

In the MCA database, there exists name similar as under:
BONNE SANTE PHARMA PVT LTD
BONNE SANTE THERAPEUTICS (INDIA) Pvt LTD


Will my client get the desired proposed name.

In a Pvt. Ltd. Company , out of three part-time directors, two directors resigned on 30th Sept,2011.If the said Company holds a board meeting on 31st Dec.2011 and appoints two more directors,will it be valid? If yes, can the two additional directors names be shown in the Attendance Record of the meeting held on 31.12.2012 as directors or as special invitees.
