Rules - private limited company?

Dear Sir,
Recently, we have formed a private limited company in Mumbai.
We are being informed by someone, that it is necessary to appoint the Chairman and Managing Director in the company. That too not later then 3 months.
We are three directors together formed this company. Kindly please let me know is the above stated true or nothing such exists.
Also please let me know, where I can study the rules and regulations of the company.

Private company is not required to appoint a MD/WTD.

Dear Parekh Ji,
There may be a MD/WTD in a pvt. Ltd. Company also.
I am presently working in a Pvt. Ltd. Company in Delhi and we have a CMD as well as a WTD.
They are appointed as per the provisions of the Articles of Association to be read with the provisions of the Companies Act,1956.
So, pl. read your AoA and take action accordingly.
