Can a company's subscriber's to the memorandum subscribe for shares at a premium at the time of incorporation?

XYZ (P)Ltd.,ABC(P) Ltd. and PQR (P)Ltd. forms a JV( PVT. Ltd.)Company to run a Hotel.As per the JV Agreement ,each Company will have two nominee directors in the Board of the JV Company.ABC(P) Ltd. also entered into a O & M Agreement to look after the facilities of the hotel.Can the nominee directors of ABC (P) Ltd., who are common directors,in both the companies ,participate in discussions and votings of the JV CO. in which matters relating to O & M Agreement are discussed?

Ours is a Private Limited Company and we wish to appoint a new Director. Please advise the procedure to be Followed.

After the approval of the accounts by the Board but before sign off by the statutory auditors, certain significant errors are noticed and the company wants to revise the accounts. Whether the Board can reapprove the revised accounts, whcih have already been approved?

Mr.X is a share holder in a private Ltd company holding 0.5% of total equity (say 10 nos). Company accepts huge loan (10,00,000 times of his capital investment) from Mr.X for a particular project on a written agreement that they will pay the return on his loan as a percentage of profit from that particular project. (Company is even ready to accept it on a fixed percentage interest).

Is this kind of a transaction valid ???

whether provisions of Companies Act applicable to the co-operative societies?

Q. if there are 2 cos. & directors & shareholders of both cos. are same, Co. 1 gives advance to Co. 2 for contract , but no performance of contract takes place & Co. 2 refunds advance to Co. 1.
in any case will section 297 of Companies Act, 1956 be attracted?

My client ( a pvt ltd) co was incorporate in May 2011. My query is whether we can held an AGM on or before 31st Dec 2012.

Also we will have to file the tax return of the company on or before 30th september and audited accounts are not available then what basis tax filings to be done?

Is there any exemption in filing tax returns first time after september?
