I want to know if i can change the subscription clause of a company.

Its a private company and 1 of its subsciber has not paid the subscibtion money, so can we remove his name and add a new subscriber in the MOA. if yes plks let me know the procedure for the same.

is it compulsorily the books of accounts of a foreign company incorporated in india has to maintain its books of accounts in indian rupees, if so what is the provisional background?

Can a person,who was not ,subscribers to the MoA be appointed as a promoter director?

I had applied for new name (in case of incorporating a new company) but the objection raised by ROC about which i am not really aware. please guide me if there is any notification regarding this, following the objection raised:-.

As per the facility provided for name search with the Trade Mark database, it has been observed that prefix 'PLANET' applied for by the applicant is a registered Trade Mark in same field. Trade Mark subject of an application by a person other than the applicant(s) in this application. Therefore, in terms of section 20(2) 9(ii) of the Companies Act, 1956, the same cannot be allowed unless there is No Objection Resolution/Certificate obtained from the owners of the Trade Mark. Resubmit accordingly with fresh names/NOC from the Trade Mark Owner. Form should be resubmitted by 08/07/2012 failing which the eForm shall be treated as invalid and shall not be taken on record. (Please refer Regulation 17 of the Companies Regulation, 1956)

I want to know that what is the basis difference between Annual E-filing of Section 25 Company and private or public company, whether we have to follow the same procedure as we follow in case of private or public company like, filing of Form-23AC,23ACA,20B & 66 or their is any difference that we have to taken care of.

I have a query related to profit partnership in pvt ltd co.if a person is not a shareholder in the company (pvt ltd) then can he become a profit partner. If No is there any way round to be a part of profits rather then commission sharing agreement. Please advise
