22 June 2012 What is the process flow beginning from preparation of annual account till its adoption by the members in the AGM with regards to the number of the board meeting required?

can anyone Please provide me the entire procedure.

Its depend on management that he wan to cover all agenda item including adoption of annual account in one Board meeting or two Board Meetings.

You can adopt two Board Meeting for the same:

In First Board Meeting you pas the following agenda items:

1. Approve the Annual Account.
2. Authorisation to sign Annual Acount
3. Authorisation for signing and adoption of Director Report and Auditor Report.
4. Other Items

In Second Board Meeting:

1. Adoption of Draft notice of AGM.

2.Authorisation for signing/dispatching of notice.
3. Deciding of book closure date.

It will depend on your management decision that conducting 2 Board Meeting or one BM.
