Sir, I want to appoint an Executive Director in one of my client's company.
But, In Form No. 32, The Question arising is that Independent Director cannot be appointed as an Executive one, He is neither a promotor, nor a professional, So, What should be done in order to appoint an him as an EXECUTIVE DIRECTOR

one of the requirement of clause 49 of listing agrement is to disclose whether the company had paid fees to stock exchange in which it register or not.I want to know the said fees related to current financial year (i.e 2011-2012) or for the next financial year (i.e 2012-13) because the said fees was paid in the very first month for the whole year ?

I have a query relating to valuation of sweat equity shares that one of my client company issued sweat equity shares and now its require to value the shares and issue the valuation report.
