Appointment of an executive director

12 July 2012 Sir, I want to appoint an Executive Director in one of my client's company.
But, In Form No. 32, The Question arising is that Independent Director cannot be appointed as an Executive one, He is neither a promotor, nor a professional, So, What should be done in order to appoint an him as an EXECUTIVE DIRECTOR

Yes, you are right an Independent director will be non-executive director. So you can not pay remuneration to Independent Director. You will opt any one option out of promoter or professional then you can treat them as executive.

13 July 2012 Thanks sir, But the problem is that the director whom I want to appoint as an executive one was not present at the time of signing MOA and AOA, So whether he is a promoter?

He is not a professional by any means, So, Should I fill the form as PROMOTER-EXECUTIVE?
