I would like to know w.r.t accounting treatments on Pvt Ltd getting converted to LLP:

1. Treatment of free reserves.Whether Frees reserves would be added to Partners Contribution??
2. Fixed Assets
3. If company has fixed assets like lan, building than whether Stamp Duty will be applicable.
4. Whether its advisable to convert a company with 300 crs plus turnover to convert itself into LLP.

Please give ur inouts on the same.

How many days after incorporation of company any individual can become Additional Director in that incorporated company?

Can new auditor be appointed be appointed w.e.f a date which is few days gap from resignation of earlier auditor or should the new appointment be in continuation of earlier appointment?

Can an individual appoint his nominees to hold shares in a company?

If yes, are those nominees required to make declarations prescribed under section 187C.

Fact:
A ltd has declared dividend of Rs. 1 on each equity share at AGM (26th July, 2012). Co has not paid dividend amount to its shareholders till now (i.e. 10th September, 2012) nor paid dividend distribution tax for said dividend.

Query:
1. Will company require filing form 5 INV with MCA.

please provide the link regarding dca circular dated letter no. 9/16(1)/61-pr dated 9-5-1961 regarding the option provided when quorum is not formed as all the directors are interested.

Q1. If a company enter in to a contract with a proprietary concern for getting engineering services and after six months a proprietor of shch concern is become director in such company then Section 297 or 314 or any other section shall apply or not. Please guide me.
