We are the Manufacturing Company of Pharma with turnover around 200 Crs. & Capital around 25 Crs., We have appointed an cost auditor for F.Y. 2011-12 & 12-13, The cost has prepared the Cost Audit Report for F.Y. 2011-12 for which due date of filing has extended to 31.01.2013, Pl clarify

1. Whether the report can be adopt by the Bord Meeting after the expiry six month of F.Y. (i.e. later date from Sept.12)

2. Max time limit to adopt by Board for F.Y. 11-12

3. Report can be adopt by circular resolution???

4.whether we need to file "Cost Compliance Certificate" also apart from "Cost Audit Report"

1) Can a company secretary of a Company be appointed as a Manager of a Company?

2) As per section 269, it is mandatory for a public Company having a paid up capital of 5 crore or more to have a MD or WTD or Manager.

Now if a Public Company's paid up capital increases to 5 crore or more, then is there any time period during which the Company should appoint a manager ?

A private company is having 4 shareholders. They are transferring their shares to another 4 persons. what shall be the procedures to be followed.

question 1:
roc had asked me to resubmit previously filed form 1 after correcting the defects.i rectified the mistakes in the form.when i logged in to resubmit the form by using the srn no., the system displayed the message "your session has expired" soon after completion of 100% upload (i.e "upload completed")

is it normal??i mean the system should dispay something like "resubmission successful" rather than "your session has expired"

this happened thrice.each time the upload show 100% completion but the same message was displayed afterwards..

should i internet explorer? is it necessary to upload form 67 for this case.
my srn status was " resubmission required".if i m not wrong, form 67 is used when srn status is "‘Pending for user clarification’ (PUCL).".

A public limited company has changed its name. What changes do one have to incorporate in the revised MOA in order to give effect to the change in name? Also, whether any clause need to be incorporated for carring over the assets and liabilities of the old company to the new company. Kindly help with suitably drafted clauses for incorporating the changes in MOA.
