Can an additional Director who is appointed in Board Meeting of a Pvt Ltd Co. be authorized to sign Form 32 for his own appointment as other Director do not have DSC ?

Dear Experts,

For satisfying the requirement of furnishing Duly Certified Copy of MOA and AOA in case of change of name of Private Limited Company as required by ROC, each page of MOA and AOA (including Subscriber sheet) is required to be sealed and signed by any one director of the company and writing the words "Certified True Copy" on each page of MOA and AOA.

Whether The seal/rubber stamp should bear new company name or old company name?

Please guide me whether I am correct in above or not? If I am incorrect, then please provide the correct procedure?

I filed Form 23 for registering the special resolution for changing the name of Private Limited Company on 28.01.2013 and attached the following:-

1. Certified Copy of Board Resolution
2. Copy of Altered MOA and AOA (after making correction in name clause of MOA and in AOA)
3. Copy of Special Resolution along with Explanatory Statement pesuant to Section 173(2)
4. Copy of Notice of Extraordinary General Meeting.

The status of the e form is "Waiting for User Clarification" with the following remarks :-

"The Copy of MOA and AOA are not duly Certified"

Please guide me with meaning of Certified copy of MOA and AOA as asked by ROC?What is required to be attached for MOA and AOA?

It is most humbly requested to kindly help me in fixing this issue as raised by ROC.

i have another query in connection with the last one....can one of the existing director be appointed as an executive director and another director be appointed as a whole time director in the same meeting?? and also let me know if i can file only one form 32 for this change of designation or it requires separate forms...Please reply soon

Can any one let me known the procedure to obtain the certificate of commencement of business, for a public ltd company where the company does not issue a prospectus to a public.

Kindly inform me the procedure of of merger & amalgamation of Companies, What reasons can be submitted for merger of such companies and is it that the merger of two companies is possible only if their objects are same.

A husband wants to transfer a portion of his shares held in a private company to his wife. Following are some of my queries :-

1) Should the shares be transferred at face value, i.e. Rs 10/- or at book value i.e. Rs 850/-.

2) What forms are to be filed w.r.t. such transfer?

3) Taxability implication on the transferor, i.e. husband.

4) Taxability implication on the transferee, i.e. wife.

Who can prepare due diligence report.???
Can statutory auditor can prepare this report????
