Please suggest the requirements to be complied with incase of transfer of shares by an Pvt. Ltd. Company. Please suggest if any form needs to be filed with the ROC.

I have incorporated an Pvt. Ltd.company and have 2 directors. Both the directors have 50% stake each.One of them doesnt want to carry on and we dont have any one else to be an director in his place at the moment.
Can we make him Non-executive director and transferring some of his shares to the other director and carry on with the usual business? We also dont want his interference in the business in future. Please suggest a possible remedy.

Whether Form 17 should be filed within 30 days from the receipt "NO DUE CERTIFICATE" from the charge holder or from the date on which the loan is paid? Which should i consider for calculating the due date?

while viewing company information regarding signatory details I received message as : -

The company is in default of filing of Form DIN 3/ Form 32

So now what I want to do?
As this company is regd before 2002 & not filed any forms/ annual returns/ statutory compliance regarding ROC.
If I want to regd director name what is the procedure?

Company has shifted its regd office from one roc to another but within same state. Now company has to file forms viz. 23, 1AD, 21 & 18.

Relating to above my queries are-

1. In which newspaper advertisement should be given about shifting of regd office? In 'english & local' or one of them is sufficient? Also give format if it is with you.

2. What is the procedure to resolve the complaints from investors?

3. If the company is private company, with 2 directors, can company decide the matter & call general meeting on same day i.e. on day of board meeting & pass special resolution thereat?

A pesron has applied for DIN number 3 months back, but now has lost both DIN as well as SRN number. Can we track the DIN number through PAN number or any other personal details of the person?

I would like to know where can I find if a company is registered to do business in Mumbai. The said company issues purchase invoice as well.
How to know if the company is authorized to issue purchase invoice and import goods by the name they are doing business.

clarify my doubt date of incprporation of a pvt ltd company-25 jan 2012 books cloased on 31.03.2012 audit report dated 25.08.2012, when shall the AGM be held, co wants to appoint new auditors in place of existing (also the first auditors)form 23 b is to be filed within 30 days of the AGM. Can you please tell me the exact procedure and communtations to be sent to existing and new auditrs

while alloting share to foreign holding company.
we have to file fcgpr form along with CA CS Certificte.
I would like to ask that CA CS certificate should filed by Practising CS or Whole time Company Secretary can file it.
