what should be the resolution for a director retiring at AGM who at the time of voting withdraws his candidature

Query 1

Existing private company (not a subsidiary of any company) proposes to change it’s name and also main objects.

Should the existing MOA-AOA be amended for name and main objects in general manner

OR

There will be impact in view of Companies Act, 2013. Kindly clarify with any URL for my understanding.

Whether online generated bank statement (duly signed by DIN applicant) can be used as a valid document in respect of Address Proof.

If the above document is accepted, should the CA also attest the document in addition to the signature by DIN Applicant. (As per DIN instructions, self-attested by applicant is sufficient).

Should the DIN Applicant get banker’s attestation, if the applicant uses the online generated bank statement (banker’s attestation does not apply for regular bank statement received by post or courier)?

Our company has been trading as a Private Ltd Company since 2008 with three director who own equal share i want to resign and start my own similiar business my as both of them are working with public limited comany and i am putting my 100% my main question is - CAN i START OUR OWN COMPANY LEGALLY, in competition with our old company.we have no contract signed orther than MOA and AOA.
Is there any law that he can stop us from trading or sue us as current directors.

which attachments are requires with form 23ac, 23aca and 20b. Further, 23ac used the word balance sheet for attachment. So, balance sheet contains how many documents and same query for 23aca profit and loss also

Dear All,

I have a doubt relating to compliance certificate.

We have unsecured loan taken from the related party of the company .

Now whether this will come under both Sec 297 and 293(1)(d) ???

The auditor of a pvt co resigned just before signing the audit report i.e on 15.08.2013 for FY 2012-2013. The question is- Can the EGM for appointing new auditor be held after 31.03.2013 for the FY12-13?
If yes, do it require to file form 23?
