There is a Audit commitee in which Two Independent Director and one non-executive director.One of the Independent Director is unable to sign the audit report,Then in this case who shall sign the audit report?

Due to some technical problem,Video Recording which was done could not be retrieved. Both video and audio is not recorded. Only after the meeting got over, this was identified. Is the meeting valid? What is the remedy?

Whether a company can become a trustee in a charitable trust

MD's brother-in-law is employed as HR Manager in the Company from Sep 2011. His remuneration has been revised to Rs 62,000 from Rs 49,000 in April 2013. MD is drawing a remuneration of Re 1 per month from the company. MD is in the rolls of some other company. Kindly advise on the applicability of Section 314 of companies act.

Basic Question

1. Basic Requirement for foundation of public limited company.
2. Structure of Director, Board of Director, Director Audit, Authorized Share capital, procedure of share issue to public. sebi registration etc.

3. The same if a company run under pvt limited company want to convert in public limited company to interest to find investors and grow the company.

while preparing minutes for general meeting Members and directors present is compulsorily required to be shown ?

As Sec 193 provides by itself in case of Board meeting the directors present have to be shown in Minutes but no such requirement is there in sec 193 to show present members and directors in case of GM, still they are shown in minutes... so this is a practice or what ??

Can any one provide the implication of the Sec 185 of companies act on the following transactions/cases.

1. Is Sec 185 attracts on transactions fund transfers between Trust and Pvt ltd company, where Trust and Pvt ltd co having same directors/controlling in both the entities

2. Is Sec 185 attracts only on Loan given to directors ? will it have any implications on Loan taken from Directors by Pvt ltd co?

3. Is there any liability arises on loans u/s 185 where loans given to pvt co and interest as per the bank rate charged.

Dear Experts There is a Pvt Ltd Company. It has re-appointed its auditor Agarwal & Co for the financial year 2012-13 on 25th September, 2012. On 6th November 2013 i.e. today Pvt Ltd wants to appoint Jain & Co as auditors for same financial year i.e. 2012-13 and remove Agarwal & Co. Agarwal & Co is not providing resignation.
What are the Options available with the current auditor and the pvt ltd company in this scenario as the due for filing of income tax return , AGM and audit for financial year 2012-13 has expired?
