Loan to nbfc company

Can a company give loan to nbfc company in which directors are common.

Dissolution or relinquishment?

There is a hotel run by two brothers. They want to discontinue the business. What is the best way other than dissolving the company?
If one co- owner relinquish his 50% share tshare to another co-owner, can the later oone change the object clauses of the co. And start a new business under same name?

Payment of sitting fees

We want to pay sitting fees for board meetings to directors Rs.2000/- per meeting .However articles of association mentions the remuneration for every meeting not exceeding Rs.250/-.Can we pay the sitting fees by simply a board resolution or the limit in articles need to be increased first?

Section 274(1)(g) is replaced by section 164 under the new companies act which is applicable not only to limited co bt also to pvt companies as well.

Do we need to take declaration from director under new provisions also which earlier was taken under section 274(1)(g).

Depreciation

FOR A PVT LIMITED CO.
FIXED ASSETS AS CAR VALUE ON 1-4-2013 WAS RS.125000/-, WHICH WAS SOLD ON 30.09.2013 FOR RS. 120000/-, NOW RS.5000/-DR.BALANCE ON 30.09.2013, WHILE IF I CALCULATE DEPRECIATION @25.89% IT WILL BE RS.16182/-ON 30.09.2013, NOW PLEASE SUGGEST ME JOURNAL ENTRY FOR THE ABOVE...

Unsecured loan from director

Dear Members,

Pls suggest on my following query:

A Private Limited company has taken unsecured loan from its Director on 1st June, 2014.

Is there any compliance(s) to be made in this regard with ROC or any other authority.

Ownership of assets

Mr ajay has a prorietorship business. now he wants to create a company in which he will hold 60% shares and the rest 40% with ram and rahim.

Ajay wants to infuse his former assets of proprietor ship business in the newly created company in a way that the ownership of the assets bought by him remains with him in the newly formed company.

Is it possible that the assets bought by ajay will remain under hi ownership in the new company formed?

if not why and if yes how?

Sir plzz help.. A company based in Sikkim is not registered on MCA as Cos Act 1956 was not applicable in sikkim.. As new act is applicable to it what should be done to get the company registered with MCA.. And what are the other compliances required for the same ??
