In a case of private company, there are two directors having joint signing authority in bank account. Now there are some disputes between them, can a single director pass a resolution by saying that only one director can sign cheque without consent of other?

What are the provisions in company's act regarding this?

I want to register a private IT company. Can I use the memorandum of association of an existing IT company that meets my requirements or is there any legal issue involved?

Disclosure of interest

I am only director in 2 private company and not the share holder. Do i have to disclose this is my letter of disclosure of interest.

further if a have an HUF do i have to disclose that in the letter.

Issue of preference shares by a private limited company

A private limited company want to issue Preference shares,Please clarify:

Whether a Letter Offer need to be sent to all the proposed allottees?

Is there any format of application form for to which an letter of offer need to be accompanied?
