17 June 2014 Its a Unlisted Public limited company having Paidup share capital Rs. 12crores

17 June 2014 In that case section 203 related to compulsory appointment of KMP is applicable to your company.

Appointment of CFO will be dome by the HR department as usual.

However now it is duty of HR to intimate board about the appointment and board will take note of that appointment by passing a BR. That BR will be filed through form MGT.14.

17 June 2014 what will the procedure if company has already appointed CFO from last 4 years.

kindly also share the format of BR.

17 June 2014 For already appointed CFO, we need to designate him as KMP.

For that a resolution is required to be passed designating existing CFO as KMP. Further form MBP.1 is required to be collected u/s 189(2).

That board resolution is to be filed through form MGT.14.

I dont hv the BR format and will share the same as soon as received.
