Can any one help me with the following queries.
A Pvt Ltd company established in 2010 in New Delhi. However, a lot of projects are into the development segment and hence thought that it would be best to establish a separate entity as a Non profit enterprise u/s.Section 8of the Company's Act 2013.
My queries are as follows:
a) If we are to establish this type of enterprise from scratch what are the modalities involved in the same ?
b) Is Section 25 is the best type of company to establish for our kind of development related projects or are there other types of companies engaged in this kind of activtes.
c)We intend to raise funding from external investors/companies for our social enterprise projects to enable us to scale up fast and hire resources. Is this possible?
d) What are the main legalities involved for shareholders and employees of a Section 25 company?
e) In our case we have a Finnish national who intends to be a part of this company. What are the legalities involved with respect to a Finnish foreign national being a shareholder of the company?
f) Are there any salary restrictions or cap on the shareholders of the company?
g) Are there any salary restrictions etc on employees of the company?
h) Can bonuses be disbursed to employees and shareholders ? If yes, is there a cap on this too?
i) What are the timeframes of establishing this type of company from scratch?

As discussed with you about the bonus,you saw my salary breakdown it is very clear now that it is target bonus given to me by the company which depends on the company norms & not on the govt bonus rule. So as per my knowledge the company is not giving me the statutory bonus & do I am eligible for that ...so please reply this is very big issue as none of my colleagues is getting this bonus.

Sir, i want to know that whether companies act 2013 will be applicable on Auditor Report for Financial year 2013-14.
I have format of auditor report of companies act 1956 whether i need to amend the same or not?
a pvt. co wish to change its auditor although the present auditor has filed F-23 b on 23/11/2013 for the fy yr 2013-14.
can it possible to change the auditor for signing of B/S-2013-14 & onward (appoint Statutory Auditor from d year 2013-14) without approval of CG.
Please advise procedure to surrender DIN in case of death of DIN holder. He has been removed from directorship of company on his death and does not hold any more office.

A company where 2 nominee director resigned in April 2013 and 2 new appointed in their place by the FI; but the company did not file any form with ROC for such changes. Now the company wants to file with ROC these changes. Please suggest how it can be done and the process. Thanks
