I want information regarding conversion of pvt. ltd company to public ltd.
I know the all procedure under the Companies Act, 1956 (ROC procedure). I wnt information as above :
1) How to issue the shares for Public?
2) At wht price? How to calculate/ fix the price of shares?.
3) Is the company hv to issue prospectus?
4) Other procedure other than ROC if any.

What is Register of Contract in a board meeting of directors?
Can a BM resolution appointing CS be passed when the CS is going to join after the date of BM ? Also the consent is given earlier before the date of BM. Is there any implications from the point of filing form 32?
dear sir,
in one of my client company, a director was expired and has no approved DIN. After contacting at MCA Helpdesk, they have issued a reference no. for filing of Form 32.
Now pls guide me how can i file Form 32. Whether it is filed physically at concerned ROC.

Please tell me that in Sec.305 of Companies Act, at the time of incorporation whether all the First Directors are required to inform as per the Act to other Companies in which they are interested?
Also please advice whether it is applicable yearly or as and when changes required?

If a Pvt. Company has once issued shares at premium and in next issue it wants to shares issue at par. Does the company require to give justification for not issuing shares at premium or a general meeting is required or just a board meeting is sufficient? Please resolve the query as soon as possible...Will be highly obliged..
What is the stock transfer treatment under vat regime?
PLEASE GIVE TO ME FORMAT OF RESOLUTION FOR A ONE OF THE DIRECTOR HAS TAKEN MEMBERSHIP FROM BUSINESS RELATED CLUB. AND CLUB HAS REQUIRED RESOLUTION FOR NO OBJECTION FOR OTHER DIRECTORS.
IF ANY PUBLIC LTD. LETS SAY HAVE AUTHORISED SHARE CAPITAL OF Rs.10,00,000 and THEY ALREADY ISSUED EQUITY SHARE CAPITAL OF Rs.8,00,000 with 80,000 of Rs.10 PER SHARE. AFTER 2 YEARS THEY WANT TO ISSUE MORE SHARES WITH Rs.36 per share i.e.3.6 times MORE THAN FACE VALUE PRICE.
MY QUERY IS THIS DIFF.i.e. Rs.26 will be treated as PREMIUM AND WHAT WILL BE THE COMPOSITION OF BALANCE SHEET AFTERWARDS.
will the face value in balance sheet remain at Rs.10 per share or Rs.36 per share.
