Effective capital

Dear All,

Can you please guide me on what treatment can be given to following in calculation of effective capital under sch XIII of Companies Act:

1. Capital Redemption Reserve
2. Capital Reserve
3. short Term investments in mutual funds and shares
4. Cash Credit Loan ( even though its repayable on demand, in last 10 years company not paid it, rather enhanced the limit)

I will be really great-full if any one can guide on above,

A company having a paidup capital of Rs.15 lacs has not been carrying on the business for the last 5 years ( from 2007 ). It has not annual accounts and returns for the last 5 years.
1. Is it required to file the annual accounts and annula returns for all the years if the company want to go for Easy exit scheme ?

2. Is it required to obtain Compliance certificate from a company secretery for the all the five years ( if the company go for easy exit scheme ) ?

A & B were the directors of a private limited company from 02.01.1997. Three directors namely X, Y & Z were appointed to the board on 18.04.2011.A & B would like to retire on 25.04.2011. Can a single Form 32 for all the five directors - appointment of X,Y& Z, cessation of A & B, be filed on the MCA portal with the A digitally signing the form on 29.04.2011?

Stamp Duty on Share Transfer

Dear All,

There is a private limited company registred in mumbai, maharahstra. this company's share holders wants to transfer the others. now he stamp duty payable is Rs. 1 for Every 1000 of sales consideration. all the shareholder will now be issued share certificates and form 7B will be excuted

my question is

1. on what we have to pay stamp duty i.e we have to affix stamps on form 7B or share transfer certificates or both??

2. can we pay the stamp duty by franking the same

Sir,

Can a Private Limited company can give loan (INterst Free and Interst Bearing) to a Public Limited company whether haveing any relationship or not with each other.

Company struck off under s560.

A Pvt.Ltd. co. has been struck off as a defunct company u/s 560. by letter of the ROC dated 1 July 2008.
The ROC/MCA records also indicate that the striking off was for a failure to have the minimum prescribed issued share capital within two years of the introduction of the Companies Amendment Act,2000.
No other compliances, i.e accounts etc. appear to be in place.
The company claims ignorance.
What would be the effective date from which the company could not have acted, traded etc. 1/7/08 or 2002
