21 April 2011 Can a new director appointed by BOD in BOD meeting ? company is public limited.

can anybody send me draft resolution for appointment of new director in a PUBLIC LIMITED company

21 April 2011 At a general meeting of public company , each director has to be appointed separately by a separate resolution. However the Board of directors may appoint
1. Additional directors
2. Filling of casual vacancies among directors
3. alternate director
if Articles permits.

22 April 2011 A new director can be appointed by the BOD in the BM as Additional Director, subject to approval of members in the General Meeting.

Subsequently in the EGM or in the ensuing AGM they can be regularised as Directors by following the steps specified in Section 257.
