The Status for e filling of a Pvt Limited is Dormat please suggest what should i do to get it Active

Managing director of the company passed away after the balance sheet date but before signing the balance sheet. Is it necessary to mention the same in directors report if yes kindly specify wordings of the clause in directors report.

The Company was incorporated in June,2004 as public ltd company.The Company commenced its business in 2006

The Company management and ownership has changed in September,2011.

Now the new management wishes to shift the registered office from one State to another.

The problem is the earlier management has not obtained Certificate of Commencement of Business.

Thus my query is:
1) can the current management proceed with shifting of Registered office .
2) or shall it first apply for compounding application for obtaining COB .
3) or shall it first convert the public ltd co into pvt ltd .

Kindly reply experts.Its very Urgent.

what is the procedure of proportional representation?
what is the manner in which directors are appointed?
i mean minority SHs appoint their representative and majority also, so how do the powers are assigned to both of them.....is it proportionately?

plz explain by giving an example , if possible....

The Balance Sheet Abstract... page, the last one of the Annual Return, has several fields to be filled in 'Rupees Thousand'. Can these be filled with two decimal point figures or do they have to be strictly rounded/ truncated to thousands ? Or either one method would do ? Please guide urgently

One Pvt Ltd Company having two directors only. One director has appointed one more director without the consent of other; I know the appointment of new one is NULL & Void but Tell me what is the status of contracts done by the said new illegal director.

The case is three year old but i got opportunity to challange it in the CIVIL & CLB office.

If yes then how much is the concession in Penalty???

If some one has filed Paper Return by Registered Post and Efiling has not been done since starting of E-filing. What are the remedies for that company? Should it file annual returns again through e filing???
