Managing director of the company passed away after the balance sheet date but before signing the balance sheet. Is it necessary to mention the same in directors report if yes kindly specify wordings of the clause in directors report.

As per section 217(4) if chairman is not available to sign than directors report shall be signed by such number of directors as are required to sign the balance-sheet and the profit and loss account of the company by virtue of sub-sections (1) and (2) of section 215.
