A Company that has accumulated losses in it's balance sheet (i.e till previous year) and in the current year it sells one of it's industrial property and makes more than it's book value. The company wants to declare dividend of such surplus. Can the company do so? What are the other provisions to be complied with?

Can a Promoter Director who is also a 50% shareholder in a Pvt Ltd be disqualified under section 164(1)(f) if he has not brought in his share capital within six months after incorporation? If yes, what should be the evidence of cessation to be provided in DIR 12, because in my view it is automatic vacation of office once he is disqualified.

I have paid estamp duty for AOA and MOA and after two re-submissions the SRN got rejected with a message as " Invalid and not taken on record. I have paid an amount of 3000 as stamp duty. (1000 for AOA and 2000 for MOA).

My Question is
1.How can i claim refund of the stamp duty paid thorough the site of MCA?
2. Can i use the present paid duty SRN for filing fresh INC 32?

In the incorporation of a Chit Fund Company Spice form send for re submission for the following reason

If the proposed company is doing the business of chit fund, money changers, insurance, forex, micro-finance, housing
finance, venture capital, asset management, investment advisor etc. activities, then declaration as per the proviso

as per companies amendment act 2017 only listed public companies will be required to form audit committee ..but as per LOADR which is applicable to any listed alentity who have listed any of specified security ( say non convertable deb.) , every such entity is required to create audit committee .


query:- in case pvt. co. has listed its non convertible deb. on recognise stock exchange then will it be required to have audit committee.?
