We have incorporated the Private Limited company. Date of Incorporation is 08/01/2011. Authorised & paid up Share capital Rs. 100000/-. Till date we have not filed any Annual Accounts & Annual return with ROC.
Whether any penal provisions will apply. Clarify me us regarding the all the company law compliance which we should follow. and also tell us what will be the date for fist AGM in our case. What will be the due date for filing of Annual Accounts, Annual Return, compliance certificate. Whether compliance certificate filing compulsory for all company.

We have filed Petition before CLB for Shifting of Registered Office from One State to Another State but in Public Notice i.e. Newspaper Advertisement it mentioned only 'Before CLB/CG' and address of bench not mentioned. Now the CLB wants explanation as 'How a common Person having grievance can approach to this Bench'.

The same company received another notice from Y, a member, holding only one share signifying his intention to propose the candidate of Z for the office of director in place of retiring director. Hi, Can any one guide me in this regard, that in agm except 4 business we have all special business but in a special business what kind of resolution are required to pass , I came to know that both can be i.e. ordinary and a special but how can we make it sure thist agenda requires special or ordinary resolution and suppose if we are passing a special reso. then it requires a registration through form 23. please clarify these.
