28 April 2012 We have incorporated the Private Limited company. Date of Incorporation is 08/01/2011. Authorised & paid up Share capital Rs. 100000/-. Till date we have not filed any Annual Accounts & Annual return with ROC.
Whether any penal provisions will apply. Clarify me us regarding the all the company law compliance which we should follow. and also tell us what will be the date for fist AGM in our case. What will be the due date for filing of Annual Accounts, Annual Return, compliance certificate. Whether compliance certificate filing compulsory for all company.

I think, it will decide what you Board decided about first financial year. If your first financial year end on 31.03.2012, then you will file annual details after holding AGM upto 30.09.2012.

I think, you are not violating any law till date.
