1.In a pvt ltd company if a share holder with more than 50% shares wishes to pass an ordinary resolution to appoint a new director, how many days' notice to all shareholders does he have to give?

2. In the same notification can he include a resolution to remove an existing director?

I need to appoint MD in a PVT LTD co.Is it sufficient to pass Board Resolution and file Form 32.
The Articles allows Co. to appoint MD.

I want BR for Companies being subscriber to MOA & AOA.

What is the procedure to issue equity shares for newly incorporated public limited company ?

i have filed form 1A two days before now it gets approved also. now i want to change the directors for which form 1a is filed and also want to add one more director to the company.

One of the Director of our company has filed e-FORM 2 with arrangement with CS, of allotment of shares IN HIS OWN NAME, without allotment money being paid and resolution to that effect is being passed.
Now How can we rectify it?
WHO IS PENALISED FOR THAT?

a co has 4 directors, is it necessary that balance sheet should be signed by same 2 directors who signed in previous year1?

While filing the prescribed Returns with the McA on the above subject, is it neccessary to attach a full set of the amended M & AoA or only the relevant clause be attached?

If the Authorised Capital of the Company is raised from Rs.7 crores to Rs. 57 croes what is the filing fees payable to including stamp duties?

Can effect be given to the alterations immediately after passing the resolutions or the Company has to wait till approvals of the McA?

I applied a DIN for my client who is going to convert his p'ship firm into a company. He has high belief in numerology. He does not like the DIN which already allotted. Is there any possibility to surrender the existing and get a new DIN? please can anyone help me out?
