One of the Director of our company has filed e-FORM 2 with arrangement with CS, of allotment of shares IN HIS OWN NAME, without allotment money being paid and resolution to that effect is being passed.
Now How can we rectify it?
WHO IS PENALISED FOR THAT?

08 August 2012 get a checque with back date, provided that back date and date of allotement shall not be more than 6 months back from today.

later transfer the shares accordingly.

Other directors wants to make this allotments itself as INVALID?
hence what CS should do?

08 August 2012 CS seems to be found guilty here. See if something can happen by internal arragement with Board otherwise CS along with Directors have committed breach which is punishable offence.
