Dear Expert, I wanna know that there is no any amendment in company act 1956 since 1956 till date except in year 2006? Because I found only Company (Amendment) Act, 2006.

hello everyone,

in the month of june 2012 i had got contract of closing 5 defunct companies under FAST TRACK EXIT MODE.

I had prepared affidavit, indemnity bond, board resolution, statement of a/c in the month of june itself. appropriate value of stamp duty has been paid in the month of june itself. However NOTARY IS STILL PENDING.

since co. was facing cash crunch form FTE could not be filed.

Now after 3 months they have cash and now want to close the company.


I know that statement of account shall not be old than 30 days and since 30 days has already elapsed so i have to make new statement of a/c.

My question:
1.
Do u think it will create any problem if i file form FTE in october 2012 and attach affidavit/indemnity bond/board resolution which dated june 2012 ( i had prepared in the month of june 2012) ?

2.
Any other precautions that need to taken in this case ?

In case of splitting up of a share, what will be the share certificate no. of the new two shares allotted in place of original share?

DIN No is alloted in the name of Inderjit Singh whereas PAN No.name is Inderjeet Singh. Now new we have taken DSC as per PAN Name i.e Inderjeet Singh. But we are facing problem while registration of DSC. Its is showing error of DSC has been revoked.

MY query is that is this due to change of name or anything else.......pl reply urgently......

if company has 10,00,000 shares @Rs.10 each at 31st march 2012,company issue 2,50,000 new shares @Rs.10 each on 31st may 2012 & Record date for dividend is 30th sep.2012.which shareholder entitle for 2011-12 dividend.
