is 274(1)(g) applicable on private companies ?

My client is a Section 25 Company. It has a board of governors to look after the management of the institute.

My query is whether a Board of Governors is equivalent to a Board of Directors.

I also wish to know whether all the members of the Board of Governors are required to be registered as Directors of the company. Or only the minimum number of members may be registered to fulfill the requirements of the statute.

Kindly clarify along with relevant sections or case laws to justify.

Can paid up capital of an incorporated company be nil? If so is filing of annual return necessary?

A company was incorporated in the FY 2008-09 with authorized capital Rs 5,00,000/- but paid up capital has been nil since then. Is it a violation of the Companies Act, 1956? If not, is filing of Annual Return compulsory even if paid up capital is nil.

Require the guidance of learned member for the following Querry:

The case is of a Private Limited Company having paid up share capital of Rs 4.5 Crores. It had two Promoter Director - Mrs A and Mrs B. The Husband of Mrs A and Mrs B are real brother. Currently Mr. A is also Director in the company.

Mrs B is a Non Resident India in Income Tax (but an Indian Citizen). The company had taken fund of around Rs 2.75 crores and issued shares of Rs 2.25 crores to her (i.e. shares issued to NRI).

Is their any violation of FEMA and if yes, what are the repircations. Further what are the remedies available to the company.

Lastly shall all the director be considered to be part of default and if yes, what shall be a way out if a Director want to get out of this issue.

Mr. X has changed his job and joined a new job. He wants to withdraw his PF amount from the old job. Is there any time limit within which he has to withdraw such PF amount?
