We have a second appeal case in Madurai (high court branch), honble judge told our advocate to sit and finalize the case in front of Mediation,during that time our advocate appointed his junior who is new guy have no experience and knowledge about our case.more over our case started since 1988,so our advocate advised us to finish the case in mediation center otherwise court will redirect to municip court, hence we agreed to give up 90 cent,but we 3 out of 12 unwillingly signed.Due to enemy party's lawyer threatened us we have signed.unwanted events pushed us to keep silent, last month we went to our advocate after 3 years of matter of incidents, he asked us to appoint another lawyer.
I would like to know it is possible to change our advocate and rearrange once again for sitting in mediation for another settlement.
we don't know further action, I kindly submit to the Expert to give me solution,it will be more helpful for us.

We are 100% subsidiary of the Japanese Company and we have authorised cpaital comprising of Equity as well as preference shares.
Prefernce shares have been redeemed upto 90%. Now we proposed to Reclasify already redeemed portion of the preference share into Equity shares.

Is any RBI permission is required for issuing such reclassified shares??

please let me know what forms are required to be filed for taking permission??

how many days RBI takes to give such approval?

On What parameters RBI gives the permission.

Can a foreign national (U.S. citizen), who is a director &
shareholder in an indian private limited company, give loan to the
said company by bringing in money in foreign currency ?

Can this loan be utilised for fulfilling the working capital

or it has to first appoint him as additional director and then has to regularise him in General Meeting?

Require first board meeting minutes of a private limited company. Both the directors are foreign national.

I have filed Form 1A with ROC mentioning 4 promoters and it has been approved...

Now i am filing Form 1, 18, 32 mentioning all the promoters as directors however only two promoters as subscriber for MOA & AOA..

Whether this is correct as per provisions of Companies act... can a company have a promoter without holding any shares...

Dear concern,

One of our client have submitted the resignation letter to the company on march 2012. But the company's other directors doesn't filed the form-32 in this regard after many follow-ups made by the resigning director. Now how could he be removed from his directors ship? What is the other way, whether we need to file complaint to ROC? If yes then how? Please help.
