Bank operations

One of my client is a private limited company. There are four directors represented by two individuals A and B and their spouses. Both the individuals A and B are signatory to bank accounts, (either or survivor basis). Now there is a dispute among the two directors. A has total control over the bank operations and is not sharing any information with B. B wants to move an application with the bank to stop the debits/ withdrawals in the cc account and as well wish to write to bank to withdraw the personal guarantee that he has given. Now my query is, whether the bank has to compulsory act upon the request of B and stop operations in the account or will the bank refuse to entertain the instructions of B and keep the bank operations going. Please give me your valued opinion along with case law or RBI circular if any.

Labour welfare fund & professional tax

A proprietorship business in Maharashtra providing services on contract basis in Gujarat state. Whether it has to register for Labour welfare fund & Professional Tax in Gujarat state separately or registered in Maharashtra is sufficient. Please advice for the same.

Noc for premises

The premises is in the name of my father and i would like to use it for the purpose of registered office of the company.
while filing INC-32 the NOC should be written on the company name or on me. And also should the NOC be printed on Stamp paper and notarized.

Where there is conversion of LLP into proprietory concern and designated partner in the LLP is continuing as auditor after conversion into proprietory concern, is it necessary for filing ADT-1 in the name of proprietory concern to continue as auditor?

Applicability of stamp duty

We have allotted 30,00,000/- Equity shares in Demat form at the time of IPO. the company is listed one and it is registered with RoC, Maharashtra. Kindly suggest at what rate & How stamp Duty on such allotment is to be paid to the Goverenment of Maharashtra. Allotment is made at Board Meeting held in Maharashtra.

Can sale deed be cancelled?

My father is seliing a plot of land next month for which the buyer is giving -

25% of Sales Consideration on the date of sale deed and
Remaining 75% through post dated cheques of year 2019.

I want to know whether a sale deed can be cancelled if post dated cheques get dishonored?

What necessary points should we mention in the sale deed for safeguarding us due to any possible fraud or cheat in the future (cheque bounce)?

Who is owner of property

if father of age 50 years purchase a plot in his son's name & his son is of age 30 years and all payments done by father.
1.who is owner of that plot
2 if father wants to sold that plot can he sold that plot without approval of his son on whose name that plot is purchase
3.if that plot is sold who has to pay tds on that amount.

Dear Experts

Please guide.

I want to start a proprietorship business ( a trading/distributorship type) in Delhi.
I will buy loose goods, will be packing( at home) and distributing the same in my own brand.

I believe registration of proprietorship is not required in any law.
GST ( as the transactions will be intra-state and be of less than 20 Lac turnover initially), registration is also not required.
If I am correct in above two points what documents should I show to bank to open a current account for proprietorship business ?

If I am not correct, please guide. Also please help to understand the other compliance in this regard.
