Conversion of loan into share capital

if it is proposed that the loan is converted into shares , and new increased share capital will exceed authorised share capital.

So the company should increase its authorised share capital prior to accepting application money ? or it can accept application money prior to increasing authorised share capital

Esi on construction co.

Whether ESI is applicable on workers working at site of construction co.

Whose liability is to comply with the provisions.

Meera Joisher

For a construction company employing 20 or more employees in their offices which is located nowhere in the vicinity of the construction site and from where administrative work is conducted, will the provisions of ESIC Act be applicable to them?
Further if the office of the contruction company is located in an "implemented area", the ESIC Act becomes applicable to them.In that case what is the ambit of the term "implemented area"?

Fema

One of my friend is working in America. He wants to transfer10,00,000/- to the joint account of his father and herself in India. In that joint account her father is the first holder. How can he do so under FEMA?

What are the other provisions (except FEMA) which attract this transaction?

Esic applicability

In case if ESIC becomes applicable to the factory (where the manufacturing takes place) is located at some other place lets say Vapi but the Head office of same where the administration work is carried out is located in Mumbai.
Then in this case,
i) Whether the ESIC provisions will be applicable to the employees of the HO?
ii)Or the factory employees will only be covered under that?
