What all things to be kept in mind by the employer while informing employees about the ESOP scheme?

HI..IAM AN IPCC STUDENT, I HAD PREPARED VERY HARD FOR MAY 2012 BUT I GOT FAILED IN LAW AND ITS BECAUSE OF LAW I FAILED IN MY NOV. 2011 ATTEMPT ALSO...I DON'T KNOW HOW TO PREPARE MYSELF FOR THIS THEORY SUBJECT AS NOW IT LOOKS MORE DIFFICULT. SO, PLS TELL ME HOW TO PREPARE FOR MY NOV.2012 ATTEMPT FOR LAW.?

Co. A has an overseas 100% subsidiary B and B has a 100% subsidiary C.

Now can A directly invest, extend loan, issue guarantee, security to C...

can C be termed as A's wholly owned subsidiary for 295 and 372A.

from the point of view of sec. 372A & 295..... wholly owned subsidiaries are outside the purview of both 295 & 372A.

advice about its registration

as per the latest circular we are required to file 23b till 4th august 2012. But if a company is incorporated 4 yrs ago, do we have to file 23b only for 2011-12 or with respect to all the years since the year of incorporation of the company??
