If an NRI wants to invest 50% in the capital of a company in the country where he is working and become director, should he take RBI approval under FEMA or any other law ?

A company has been down graded from BBB(-) to DD by crisil what are the implication we can expect from various sources.
Can some expert give his valid opion.

I filed 23b,20B, 23AC,ACA, then i received SRN No. for the abouve e-forms after upload in MCA Portal,
Then My Query is
After filing the above forms with out any payment made . I filed one more time of the above forms. and i received one more SRN No. and I paid amount to the recent SRN No. the is it necessary to pay the Old SRN No.?

I want to change proprietor in proprietorship. Can it possible directly by changing name of proprietor?
Can proprietor gift the whole business to other. In the my case, proprietor want to change his business in the name of his nephew.
What is legal procedure and where we have to inform after changing legal status?

My aticleship completed on july 2012. As per respected ICAI guideline a student can appeare final exam before six month from complication of articleship, but i can not gave final exam on may 2012 as well as on nov 2012 term also due to family dispute. I gave final exam on may 2013 and my exam has gone excellent. Now my question is :- Can it wiil be say its my third attempt to cleare my exam or second attempt..??? Please reply...

We have received the notice for short payment of amount of TDS, which is already sufficient paid by us and return of TDS has been already filed and the return is proper,
so What should I do in this Situation?
