exemption details

i had appeared for both groups of ipcc in may 2010, but unfortunately i gained only an exemption in accounts in group 1.
so i want to know that if i score good marks in november 2010 and become eligible to get a rank, will my rank be valid.............

Acceptance/payment of loan

In 3cd reprt what will we comment upon if loan is accepted or paid u/s 269ss through RTGS whereas it is specify whether loan is accepted/paid otherwise than through account payee cheque/bank draft

I am a pcc student going to appear in November 2010 for second time, also my scoring in 1st attempt was only 200. my preparation is not at all o.k with any subject. i am confused to give both groups or only second group. please suggest me.
