depreciation for pvt ltd companies

if a private ltd.company has a branch can it provide depreciation in books as per income tax act for head office?? and as per companies act for branch???
if yes then why????

Our company is public limited listed with BSE, we want to pass a resolution for the approval to pay commission to non- executive directors in the general meeting. but before that we want to amend article of association for the same. Kindly give me the format of resolution for the change of article of association for paying commission to non-executive directors.
