11 December 2012 Can the following Board Resolution regarding resignation of directors be passed? Please check the dates if the BM can be held afterwards:

Minutes of the meeting held on 12.02.12:

Mr.XYZ, Director, has submitted his resignation on 1st January 2012 to the Board of Directors of the Company citing ‘Personal Reasons and other professional commitments.’ The Board deliberated on Mr.XYZ resignation and regretfully accepted the same with effect from 4th January.

“RESOLVED THAT Mr. XYZ will cease to be a Director of ABC Private Limited with effect from 4th January 2009”.

If he is giving resignation in 2012 then why you resign from 2009. Please check what your articles says about effective date of resignation.

11 December 2012 sorry it will be 4th January 2012 only..My query is it posiible to pass resolution afterwards that the director resigned with effect from i.e (Date will be before that of Board Meeting).
