Appointment of director

15 January 2015 Hi,

A private limited company having two directors want to appoint an additional director.

but, one of the existing two directors is not available as he is in police custody for some reasons (not criminal reasons).

In that case, how the additional director will be appointed as there will not be sufficient quorum to convene board meeting. Is there any way out?

Also, company want to change its name. Can it be done with only one director available at the moment?

19 January 2015 section 98 provides that One member can form quorum but subjected to prior approval of the tribunal and section 186 of companies act, 1956...such powers are given to company law board. so apply for the same
