Hi
Mr. A is Whole Time Director (WTD) of listed company. If he wants to resign from the post of WTD, can he be appointed as Non Executive Director in the same company on the same day?

You wanted to change in position of director.
If yes, then, You just change the designation/position of WTD and intimate the ROC with Form-32.

But, is it necessary to take the approval of shareholders in EOGM OR AGM for changing the designation of WTD?

No need of shareholder resolution only Board Resolution will be sufficient.
