A private limited company having 2 Directors X and Y. Its shareholders are X- 33%, Y- 34% & Z- 33% . If Director X, wishes to appoint his wife as Director without consent of Director Y.Can he do so?

You can appoint Mr. X wife as a director in Board Meeting and consent of director/s required for appointment of new director.

11 June 2012 Thanks for replying sir.

It means X can appoint his wife by passing board resolution without consent of Director Y and in future If Y raises any objection that appointment of wife of Director X as Director is not valid as was done wihtout his consent so will his objection will sustained or appointment will be valid?

The Board will not properly hold meeting unless Mr. Y is present, so Mr. Y as director presence is mandatory.
