what are the pre conditions for giving sitting fees to director and laws relating to it

Pass Board resolution for payment of sitting fees.
Also check Articles of Association of the Company for provisions of sitting fees.
Further note that Maximum Sitting fees payable shall not exceed Rs. 1 Lakh per meeting of the Board or committee thereof.
