14 April 2012 Can anyone please provide a draft resolution for change in designation of additional director from Executive to Non-Executive?

I think it will not cover in change in designation, because the designation will be as an additional director.

Non-executive and executive depend on many things and it includes remuneration also.

Please also check of Form-32 what u have fill about such director.

In short, there is no need to give any resolution for that.

yes it is not actually change of designation it is change of status of director for which a simple board resolution is required.
