I SPECIMEN BOARD RESOLUTION FOR APPOINTMENT OF COST AUDITOR

“RESOLVED THAT pursuant to the provision of section 233B of the Companies Act, 1956 read with General Circular No.15/2011 dated 11.04.2011 issued by the Ministry of Corporate Affairs and the Central Government’s order, directing the audit of Company’s Cost Accountants relating to 2010-11 for the financial year ended March 31, 2011, M/s AKM…………, Cost Accountant, be and are hereby appointed the cost auditors of the Company at a remuneration and payment of such out-of-pocket expenses to the said Cost Auditor as he may deemed fit.
RESOLVED FURTHER THAT any director or company secretary of the Company be and is hereby authorised to make and submit an application in Form-23C to the Central Government, obtain the certificate under section 233B from the proposed appointee and to do all such acts, deeds, and thinks necessary for giving effect to this resolution.”

dear mishra sir,
one more query pls solve... sir my co. doesnot fall under cost audit, for the financial year 2011-12 i m only complied to file only cost audit compliance certificate.... according to my cost auditor for that compliance certificate they dnt need to file form 23C... n in your resolution u have described abt the filing of form 23C... sir i m too confused pls clear my confusion....

If your company does not fall under cost audit then why should want to comply. You have read section 233B and section 209(1)(d.
