27 December 2012 we are paying remuration to director 45 lakhs each the company is private limited company having profits 1. crore before tax as per company new bill can continue to pay

The provision of the Companies Act, 1956 relating to remuneration of director is not applicable to private limited company. Such remuneration is governed by their own articles. You are free to pay any remuneration as approved by articles.

In case of new Companies Bill, unless it is not implemented we can not say anything on it.
