12 March 2015 Dear professional colleague,

Kindly confirm my understanding on procedure to appoint Independent Director:

1. Hold BM and pass resolution for appointment.
2. File DIR-12 in 30 days
3. Hold shareholders meeting for approval of appointment and pass ordinary resolution.

Correct me if i am wrong.

12 March 2015 PROCEDURE PRECRIBED BY YOU IS CORRECT

Consent to act as a ID director should be obtained.

Declaration by ID of meeting the Independence criteria also to be obtained. A proper letter of appointment, containing terms and conditions of appointment shall be issued to such ID.
