a company doesn't file any return after 2009-10.
a director resign on 01.05.2011
after that again one resignation on 12.05.2012.
Now can a single form 32 being file for both director and what is procedure.

No, you can not file single Form-32 for different date of event. In your case director are resigned on different date, so you will file two Form-32 with ROC with payment of additional fee.
