Please provide me Drafted CTC of necessary Resolutions as per sec. 180 of Co. Act, 2013.

we are renewing loan taken from Syndicate bank of Rs. 40 Lacs.

11 February 2016 "RESOLVED that the company do request the Syndicate Bank , Parliament Street, New Delhi, for allowing the company to renew the overdraft/cash credit facility to the extent of Rs. 40,00,000 (Rupees forty lakh only) for meeting the working capital needs of the company".

"RESOLVED FURTHER that the Managing Director of the company be and is hereby authorised to secure the said facilities against the hypothecation of finished goods, raw-materials, etc., of the company and to execute all documents and papers as required by the said Bank and to do all such acts, deeds and things as may be necessary to secure the above facilities including digitally signing and to e-file form CHG-1 with the MCA portal to create charge against the companies aforesaid assets.

"FURTHER RESOLVED that the General Manager (Finance) be and is hereby authorised to operate the said account and to deal with all matters connected therewith".
