Dear Sir,
my qurey is if the books are audited before 30-09-2011 and if return filed online after 30-9-2011 but before 31-03-2011. will I liable for any penalty.

No penalty only interest u/s 234A may be applicable. Hope you have already paid the entire tax amount.
Still you face following problems due to late filing of IT Return--
1) IF you file belated return you are not eligible to carry forward loss if any.
2) Belated return file u/s 139(4) can not be revised.
