Hi
My Pvt Ltd company has capital of 15 lakhs and paid up 13 lakhs.
My chartered accountant advised me that no compliance certificate from company secretary is required to be filed for this company from Ay 2015-16 onwards.

In your case, the annual return (form MGT-7) has to be authenticated (signed) by a practicing company secretary. No compliance certificate, as per section 383A of the companies act,1956, is required from financial year 2014-15 and onwards.
